Welcome to EarnItGrid ("the Service"), a habit tracking application operated by Prospect Connect Media LLC ("we," "us," or "our"), a Delaware limited liability company. By accessing or using EarnItGrid, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use EarnItGrid. If you are under 18 years old, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You are not prohibited by law from using the Service
• All information you provide to us is accurate and complete

2. Account Registration

To use EarnItGrid, you must create an account using a valid email address or through Google authentication. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may only maintain one account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are duplicates.

3. The Service

EarnItGrid is a habit tracking application designed to help users build and maintain positive habits. The Service includes:

• Habit creation, tracking, and management
• Progress visualization and analytics
• Social features including public profiles and an explore page
• Customizable grid displays and motivational quotes

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any feature at any time without notice.

4. Subscription Plans and Payment

Free Tier

EarnItGrid offers a free tier that includes basic habit tracking with up to three active habits. Free tier users may access the core grid interface, daily check-ins, and basic progress views.

Premium Subscription (ProGrid)

ProGrid subscriptions unlock additional features including unlimited habits, advanced analytics, AI Habit Coach, visual effects, and priority support. ProGrid is available under the following billing options:

• Monthly: $9.99 per month, billed monthly
• Annual: $97.00 per year, billed annually

Lifetime Access

From time to time we may offer a one-time-payment Lifetime Access option through promotional funnels. Lifetime Access grants perpetual access to all ProGrid features for the operational lifetime of the EarnItGrid platform. Lifetime Access is non-recurring and does not auto-renew. Refund terms for Lifetime Access are set out in our Refund Policy.

Trial Offers

We may offer trial periods (for example, a 14-day trial for $1.00) that allow you to evaluate ProGrid before committing to a full subscription. Unless you cancel before the trial period ends, your trial will automatically convert to a paid monthly subscription at the then-current monthly rate. The trial fee is non-refundable. Full trial cancellation terms are set out in Section 5 below and in our Refund Policy.

Digital Products

We sell digital products including ebooks, templates, assessments, audio companions, and courses. Digital products are separate from ProGrid subscriptions and are governed by the refund terms in our Refund Policy.

Payment Terms

• All payments are processed securely through Stripe, our PCI-DSS compliant payment processor. We do not store your full card details.
• All prices are quoted in U.S. dollars (USD) unless otherwise stated.
• We reserve the right to change subscription fees upon 30 days' prior notice. Price changes will not affect the current billing period.
• You are responsible for all applicable taxes, duties, and levies imposed by your jurisdiction.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder email before each renewal. You authorize us to charge your payment method for the renewal amount at the then-current rate.

5. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings or by emailing help@earnitgrid.com. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to ProGrid features until your subscription expires
• Your account will revert to the free tier after expiration
• No partial refunds are issued for unused time within a billing period

Trial Cancellation

If you are on a trial offer, you must cancel before the trial period ends to avoid being charged the recurring subscription fee. The trial fee (e.g. $1.00) is non-refundable. If you do not cancel before the trial expires, your subscription will automatically convert to a paid monthly plan at the then-current rate.

Refund Policy

Our complete refund terms — including refund windows for subscriptions, digital products, lifetime access, and the 90-day book guarantee — are set out in our Refund Policy. To request a refund, email help@earnitgrid.com.

6. Acceptable Use

You agree to use EarnItGrid only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated tools, bots, or scrapers without our written permission
• Share your account credentials with others
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Post content that is defamatory, obscene, or otherwise objectionable
• Impersonate any person or entity

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating accounts and reporting to law enforcement authorities.

7. Intellectual Property

Our Intellectual Property

The Service and its original content, features, and functionality are owned by Prospect Connect Media LLC and are protected by copyright, trademark, and other intellectual property laws. The EarnItGrid name, logo, and all related marks are our trademarks. You may not use our trademarks without our prior written consent.

Your Content

You retain ownership of all content you create or upload to the Service, including your habits, notes, and profile information ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and transmit your User Content solely for the purpose of operating and providing the Service.

Public Content

If you choose to make your profile or habits public, you understand that this content may be viewed by other users. You grant us the right to display such public content on the Service, including on our explore page and in promotional materials.

8. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

9. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or applications, including:

• Google authentication services
• Payment processors
• Analytics providers
• Cloud hosting services

We are not responsible for the content, privacy policies, or practices of third-party services. Your interactions with third-party services are governed by their respective terms and policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements
• Your data will be preserved indefinitely

EarnItGrid is a habit tracking tool and is not intended as a substitute for professional medical, psychological, or mental health advice. You should consult with appropriate professionals for any health-related concerns.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROSPECT CONNECT MEDIA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, or goodwill
• Service interruption or computer damage
• The cost of substitute services
• Any other damages arising from your use of or inability to use the Service

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prospect Connect Media LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service

13. Dispute Resolution and Arbitration

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact us at help@earnitgrid.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Binding Arbitration

If we cannot resolve the dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in English, and the seat of arbitration shall be Wilmington, Delaware.

Class Action Waiver

YOU AND PROSPECT CONNECT MEDIA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may bring a lawsuit in the state or federal courts located in Delaware for claims of intellectual property infringement or to seek injunctive relief.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on the Service
• Updating the "Last Updated" date
• Sending you an email notification (for material changes)

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.

16. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Prospect Connect Media LLC regarding your use of the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.

Survival

Sections relating to intellectual property, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive termination shall survive the termination of these Terms.
